Please read these Terms and Conditions carefully before using the WXLLSPACE website, platform, listings, project services, managed services, activation services, mural services, artist coordination services, installation coordination services, or related commercial services.

These Terms govern Your access to and use of the WXLLSPACE website, platform, accounts, listings, forms, communications, project workflows, services, and related offerings. Certain sections apply only to website or platform use. Other sections apply to paid projects, listings, activations, murals, installations, or managed-service engagements.

1. Interpretation and Definitions

Interpretation

Capitalized words have the meanings defined below. These definitions apply whether the words appear in singular or plural form.

Definitions

  • Account means a unique account created for You to access the Service or parts of the Service.
  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where control means ownership of 50% or more of shares, equity interests, or securities entitled to vote for directors or other managing authority.
  • Artist means an independent artist, muralist, installer, subcontractor, fabricator, vendor, or creative professional engaged, introduced, managed, or coordinated by WXLLSPACE in connection with a Project.
  • Change Order means a written approval, signed document, email confirmation, or other written agreement accepted by both parties that modifies the scope, schedule, price, Deliverables, site requirements, or other material Project terms.
  • Client means the individual, company, property owner, property manager, developer, tenant, brand, agency, or other legal entity purchasing, requesting, evaluating, listing, booking, receiving, or participating in WXLLSPACE Services.
  • Company means WXLLSPACE INC., 40 McNair Drive, Mahopac, NY 10541, referred to as WXLLSPACE, the Company, We, Us, or Our.
  • Content means text, images, graphics, files, artwork, designs, specifications, photographs, videos, renderings, logos, trademarks, comments, communications, listings, property information, project information, or other information posted, uploaded, linked to, transmitted, provided, submitted, or otherwise made available by You.
  • Deliverables means the designs, concepts, renderings, project documentation, mural artwork, installation coordination, photographs, files, listing materials, activation materials, or other outputs specifically identified in a Service Agreement or approved Project scope.
  • Device means any device that can access the Service, including a computer, mobile phone, tablet, or other digital device.
  • Feedback means feedback, ideas, innovations, suggestions, comments, or recommendations sent by You regarding WXLLSPACE, the Service, the Website, any Project, listing, workflow, feature, process, or business model.
  • Governing Jurisdiction means the State of New York, United States.
  • Listing means any property, wall, storefront, surface, venue, space, site, activation opportunity, physical placement opportunity, commercial opportunity, or related opportunity submitted to, displayed through, reviewed by, evaluated by, or made available through WXLLSPACE.
  • Listing Provider means any individual, company, property owner, property manager, developer, tenant, operator, landlord, representative, or other party that submits, lists, offers, provides, controls, manages, or makes available a Listing or physical opportunity through WXLLSPACE.
  • Mural Services means mural design, art consulting, creative direction, project coordination, artist sourcing, artist assignment, production coordination, installation coordination, documentation, and related services provided, coordinated, arranged, or made available by WXLLSPACE.
  • Project means a specific mural, artwork, design, installation, campaign, property activation, listing, placement, physical opportunity, commercial activation, or related engagement performed, coordinated, arranged, reviewed, or made available by WXLLSPACE for a Client.
  • Project Participant means any Client, Listing Provider, property owner, property manager, brand, agency, vendor, contractor, Artist, installer, fabricator, consultant, partner, or other party involved in a Project, Listing, activation, placement, or service engagement.
  • Service means the Website, platform, accounts, listings, project workflows, managed services, creative services, activation services, mural services, artist coordination services, installation coordination services, and related services provided, coordinated, arranged, or made available by WXLLSPACE.
  • Service Agreement means any signed proposal, statement of work, master services agreement, project agreement, invoice, purchase order accepted by WXLLSPACE, listing agreement, activation agreement, or other written Project document that describes the scope, price, schedule, Deliverables, Listing, Project, payment obligations, or terms for a Project.
  • Terms means these Terms and Conditions.
  • Third-Party Social Media Service means any service or content provided by a third party that may be displayed, included, or made available through the Service.
  • Website means the WXLLSPACE website, accessible from https://wxllspace.com.
  • WXLLSPACE Services means the Website, platform, listings, lead-generation services, project coordination, managed services, creative services, brand activation services, wall and space opportunity services, mural services, artist coordination, installation coordination, and related commercial services provided, coordinated, arranged, or made available by WXLLSPACE.
  • You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual accesses or uses the Service.

2. Acknowledgment

These Terms govern Your access to and use of the Service and form an agreement between You and WXLLSPACE.

By accessing or using the Service, creating an Account, submitting a Listing, submitting Content, approving a Service Agreement, paying an invoice, participating in a Project, or otherwise using WXLLSPACE Services, You agree to be bound by these Terms.

If You disagree with any part of these Terms, You may not access or use the Service.

You represent that You are at least 18 years old. WXLLSPACE does not permit persons under 18 to use the Service.

If You access or use the Service on behalf of a company, organization, property owner, brand, agency, Listing Provider, or other legal entity, You represent and warrant that You have authority to bind that entity to these Terms.

Your access to and use of the Service is also conditioned on Your acceptance of the WXLLSPACE Privacy Policy, which describes Our policies and procedures regarding collection, use, disclosure, and protection of personal information.

3. Wxllspace Role

WXLLSPACE may operate in different roles depending on the applicable service, Listing, proposal, Project, order, or written agreement. WXLLSPACE may act as a website operator, platform operator, listing platform, lead-generation service, project coordinator, managed-service provider, creative services provider, or contracting party for specific services.

Unless a written agreement expressly states otherwise, WXLLSPACE does not act as a real estate broker, property manager, leasing agent, fiduciary, legal advisor, permitting consultant, insurer, or guarantor for any user, Client, Property Owner, Listing Provider, vendor, contractor, or Project Participant.

WXLLSPACE does not guarantee the availability, legality, suitability, visibility, revenue, impressions, traffic, performance, condition, approval, permitting, or results of any property, wall, storefront, space, Listing, campaign, activation, mural, installation, or placement.

WXLLSPACE may review, reject, approve, edit, suspend, remove, or decline to promote any Listing, Project, Content, or opportunity at its discretion.

4. Project Documents and Order of Priority

These Terms do not replace a signed proposal, statement of work, master services agreement, project agreement, purchase order accepted by WXLLSPACE, invoice, listing agreement, activation agreement, or Change Order.

If these Terms conflict with a signed or accepted Service Agreement, the Service Agreement controls for that Project only.

If a Client provides purchase order terms, vendor portal terms, procurement terms, invoice terms, or other supplemental terms, those terms are rejected unless WXLLSPACE expressly accepts them in writing.

WXLLSPACE may decline to begin or continue work until required deposits, approvals, site information, insurance documents, access details, listing information, authorization materials, or Project materials are received.

5. Description of Services

WXLLSPACE provides technology-enabled platform services, listing services, managed project services, creative coordination, mural services, brand activation coordination, artist coordination, production coordination, installation coordination, and related services to business clients.

WXLLSPACE Services may include the following.

  • Account creation
  • Listing submissions
  • Listing review
  • Listing management
  • Property, wall, storefront, or space evaluation
  • Opportunity discovery
  • Lead generation
  • Project inquiry routing
  • Platform communications
  • Project tracking where available

Managed Project Services

  • Project scoping
  • Proposal development
  • Client coordination
  • Project planning
  • Vendor, Artist, installer, or contractor coordination
  • Scheduling coordination
  • Documentation
  • Completion review
  • Operational support

Mural and Creative Services

  • Initial concept development
  • Creative direction and consultation
  • Design iterations and revisions within approved scope
  • Renderings, mockups, specifications, and related design documentation
  • Artist sourcing, selection, assignment, and coordination
  • Production planning
  • Quality oversight

Activation and Installation Coordination

  • Coordination of mural execution or installation
  • Physical placement coordination
  • Site access coordination
  • Vendor coordination
  • Completion documentation
  • Final review and acceptance process

Website and Account Services

  • Website access
  • Portfolio browsing
  • Service inquiries
  • Account creation
  • Form submission
  • Project tracking where available
  • Communication tools where available

WXLLSPACE may modify, suspend, discontinue, or limit any part of the Website, platform, or Service at any time.

6. Scope Limitations

Unless expressly stated in a Service Agreement, WXLLSPACE does not provide:

  • Permits or government approvals
  • Building owner approvals
  • Landlord approvals
  • Tenant approvals
  • HOA approvals
  • Municipal approvals
  • Zoning approvals
  • Signage approvals
  • Engineering, architectural, or code consulting services
  • Structural analysis
  • Building modifications
  • Surface repair, wall remediation, or site preparation
  • Ongoing mural maintenance or repair
  • Security, site supervision, or premises management
  • Hazardous material testing or remediation
  • Legal, insurance, tax, or regulatory advice
  • Property management services
  • Real estate brokerage services
  • Leasing services

The scope of each Project is limited to the services and Deliverables stated in the applicable Service Agreement. Any change to scope, price, schedule, surface conditions, access requirements, Deliverables, assumptions, approvals, or installation requirements must be approved through a Change Order.

7. User Accounts

When You create an Account with Us, You must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of these Terms and may result in immediate suspension or termination of Your Account.

You are responsible for safeguarding Your password and for all activities or actions under Your Account.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of a breach of security or unauthorized use of Your Account. You may not use as a username the name of another person or entity, a name that is not lawfully available for use, a name or trademark subject to the rights of another person or entity without authorization, or a name that is offensive, vulgar, obscene, misleading, or deceptive. WXLLSPACE may suspend, restrict, or terminate Accounts that WXLLSPACE believes are inaccurate, unauthorized, fraudulent, abusive, harmful, inactive, or in violation of these Terms.

8. Listing Provider and Property Owner Obligations

If You submit, list, offer, provide, or make available any property, wall, storefront, surface, venue, space, site, or physical placement opportunity through WXLLSPACE, You represent and warrant that You own, control, lease, manage, or are otherwise authorized to submit and make available that opportunity.

You are responsible for the accuracy and completeness of all Listing and property information, including:

  • Location
  • Dimensions
  • SQFT
  • Visibility
  • Access
  • Availability
  • Pricing
  • Restrictions
  • Photographs
  • Videos
  • Site conditions
  • Approval requirements
  • Permitted uses
  • Operational limitations
  • Safety requirements
  • Insurance requirements
  • Building rules
  • Landlord, tenant, or stakeholder restrictions

You must promptly notify WXLLSPACE if any Listing information changes or becomes inaccurate. WXLLSPACE may request proof of authority, ownership, lease rights, management rights, insurance, approvals, permits, or other supporting documentation at any time. WXLLSPACE may reject, edit, suspend, remove, or decline to promote any Listing or opportunity if WXLLSPACE believes that the Listing is inaccurate, unauthorized, unlawful, unsafe, misleading, unavailable, restricted, or inconsistent with these Terms or WXLLSPACE’s business standards.

9. Permits, Approvals, and Site Compliance

Unless a written Service Agreement expressly states that WXLLSPACE is responsible for a specific approval, the Client, property owner, Listing Provider, or applicable Project Participant is responsible for obtaining and maintaining all permissions, permits, licenses, consents, landlord approvals, tenant approvals, municipal approvals, zoning approvals, signage approvals, building approvals, access approvals, safety approvals, union approvals, and other authorizations required for the applicable Listing, Project, campaign, installation, activation, display, maintenance, or removal.

WXLLSPACE may request evidence of approvals at any time. WXLLSPACE may suspend, cancel, delay, or decline services if required approvals are not provided, if site conditions are unsafe, if information is inaccurate, or if continuing work would create legal, safety, insurance, reputational, or operational risk.

WXLLSPACE is not responsible for delays, costs, rejected work, takedowns, fines, penalties, failed activations, or lost opportunities caused by missing approvals, inaccurate site information, property restrictions, municipal requirements, landlord objections, tenant objections, zoning restrictions, signage restrictions, access restrictions, or other conditions outside WXLLSPACE’s control.

10. Client Responsibilities

The Client is responsible for:

  • Providing accurate Project information
  • Providing accurate Listing information, if applicable
  • Confirming dimensions, SQFT, site conditions, and installation requirements
  • Obtaining all permits, licenses, building approvals, landlord approvals, stakeholder approvals, and other required permissions
  • Providing safe, lawful, and timely site access
  • Ensuring that the site is ready for work
  • Confirming that surfaces are structurally sound, clean, accessible, and suitable for the applicable Project unless otherwise stated in the Service Agreement
  • Providing accurate brand guidelines, reference materials, artwork, logos, trademarks, and other Client materials
  • Ensuring that Client-provided materials do not infringe third-party rights
  • Maintaining required insurance
  • Notifying WXLLSPACE of site hazards, restrictions, union requirements, security procedures, operating rules, or special access requirements
  • Making timely decisions and approvals
  • Providing accurate billing and payment information
  • Cooperating with WXLLSPACE, Artists, contractors, vendors, and Project Participants as reasonably required

Client delays, incomplete information, unavailable access, changed instructions, unsafe conditions, or site issues may result in additional fees, schedule adjustments, suspension, cancellation, or Change Orders.

11. Booking, Availability, and Activation Risk

A Listing, proposal, quote, estimate, discussion, or availability indication does not guarantee that a property, wall, storefront, surface, space, Artist, contractor, vendor, installation date, activation date, or Project period is available.

A Project or placement is confirmed only when WXLLSPACE issues written confirmation or the parties execute an applicable Service Agreement and all required payments, approvals, materials, and access details have been received.

WXLLSPACE may cancel, delay, reschedule, or modify a Project, placement, activation, or installation due to unavailable space, inaccurate Listing information, unsafe site conditions, denied access, missing approvals, permit issues, landlord or property owner objections, weather, vendor delays, Artist availability, material delays, nonpayment, force majeure events, or circumstances outside WXLLSPACE’s reasonable control.

Unless a Service Agreement states otherwise, WXLLSPACE is not responsible for lost revenue, lost exposure, lost campaign value, missed timing, replacement media costs, or other consequential damages caused by delay, cancellation, access denial, failed installation, failed activation, or unavailable space.

12. Prohibited and Restricted Content, Listings, and Projects

WXLLSPACE may reject, remove, suspend, modify, or require changes to any Content, Listing, campaign, creative material, message, activation, placement, or Project at its disc

Prohibited or restricted categories may include:

  • Unlawful content
  • False or misleading claims
  • Defamatory content
  • Discriminatory content
  • Hate content
  • Adult sexual content
  • Tobacco
  • Vaping
  • Cannabis
  • Controlled substances
  • Weapons
  • Gambling
  • Political or issue-based content
  • Alcohol
  • Pharmaceuticals
  • Health claims
  • Dangerous products
  • Counterfeit goods
  • Content directed to children
  • Content requiring age-gating
  • Content requiring special licensing, disclosures, substantiation, or regulatory approval

WXLLSPACE may require additional review, documentation, approvals, disclaimers, licenses, permits, substantiation, or written authorization before accepting any restricted category. WXLLSPACE may decline any Content, campaign, Listing, or Project even if the Content is lawful.

13. Payment Terms

Unless a Service Agreement states otherwise, Project payments are due as follows:

  • Design Fee: 10% of the Project amount, due upon Project confirmation or before design work begins.
  • Setup Fee: 50% of the Project amount, due before production, Artist scheduling, procurement, or installation coordination begins.
  • Final Fee: 40% of the Project amount, due upon substantial completion, final delivery, or completion of the applicable milestone stated in the Service Agreement.

WXLLSPACE may require payment before beginning or continuing work on any Project phase.

Unless a Service Agreement states otherwise, invoices are due net 30 days from the invoice date. Late payments accrue a finance charge of 1.5% per month, or the maximum amount allowed by applicable law, whichever is lower.

If payment is more than 15 days overdue, WXLLSPACE may suspend design, coordination, production, installation, delivery, Account access, Listing access, or other services until all overdue amounts are paid.

The Client is responsible for reasonable collection costs, attorney fees, court costs, arbitration costs, and other expenses incurred by WXLLSPACE in collecting overdue amounts.

WXLLSPACE may accept payment by ACH transfer, invoice payment, bank transfer, wire transfer, check, or other payment methods approved by WXLLSPACE. WXLLSPACE currently uses Mercury ACH and related banking workflows for certain client payments.

You are responsible for providing accurate payment and billing information and for ensuring that payments are authorized, timely, and not reversed without valid basis.

If a payment fails, is reversed, is disputed, or is not received when due, WXLLSPACE may suspend or cancel services, withhold Deliverables, delay Project work, require an alternative payment method, recover collection costs, and exercise any other rights available under these Terms, a Service Agreement, or applicable law.

14. Payment Disputes

You agree to contact WXLLSPACE at hello@wxllspace.com before initiating any payment reversal, bank dispute, chargeback, or similar payment challenge for amounts invoiced or owed.

If You initiate an improper payment dispute or reversal, WXLLSPACE may suspend services, cancel pending work, recover bank fees, collection costs, attorney fees, and other expenses, and require future payments by an approved method before any work resumes.

This section does not limit any non-waivable rights You may have under applicable law.

15. Change Orders

Any change to Project scope must be approved in writing through a Change Order before the changed work begins.

A Change Order may address:

  • Additional revisions
  • Expanded design scope
  • New locations or surfaces
  • Changed dimensions
  • Changed SQFT
  • Schedule acceleration
  • Delayed site access
  • Additional Artists or labor
  • Material changes
  • Site condition changes
  • Client-caused delays
  • Rework due to changed instructions
  • Additional permits, approvals, or site requirements
  • Added Project Participants
  • New or changed Deliverables

WXLLSPACE is not obligated to perform work outside the approved Project scope unless a Change Order is approved.

Undocumented requests, verbal direction, site-level requests, or instructions from personnel not authorized under the Service Agreement may result in additional costs, delays, or rejection of the requested change.

16. Cancellation and Refunds

Unless a Service Agreement states otherwise:

  • The Design Fee is non-refundable once design work begins.
  • Advance payments, deposits, setup fees, and milestone payments are non-refundable once work under the applicable phase begins.
  • Payments for completed work are non-refundable.
  • If the Client cancels a Project after work begins, the Client remains responsible for all completed work, committed costs, Artist fees, vendor fees, contractor fees, materials, scheduling costs, procurement costs, and non-cancellable expenses.
  • If WXLLSPACE cancels a Project without cause, the Client will receive a pro rata refund for amounts paid for work not performed, excluding non-cancellable costs.

WXLLSPACE may create separate refund, cancellation, or Project-specific terms. If a separate Service Agreement or written cancellation policy applies to a Project, that document controls for that Project.

17. Insurance

WXLLSPACE maintains commercial insurance for its operations. Upon request, WXLLSPACE may provide a certificate of insurance or other insurance documentation, subject to policy terms, insurer approval, and applicable law.

Unless a Service Agreement states otherwise, the Client must maintain commercially reasonable general liability and property insurance for the Project site, with limits appropriate for the property, Project size, and site risk. WXLLSPACE may request evidence of insurance before beginning work.

Where required by a Service Agreement, WXLLSPACE may provide an additional insured endorsement, waiver of subrogation, or primary and noncontributory endorsement, subject to insurer approval, policy terms, and applicable law.

Listing Providers, property owners, vendors, contractors, Artists, installers, and other Project Participants may be required to provide certificates of insurance, additional insured endorsements, waivers, or other insurance documentation where WXLLSPACE determines that the Project requires it.

Nothing in these Terms expands, modifies, or guarantees insurance coverage beyond the terms of the applicable insurance policies.

18. Content

The Service may allow You to post, upload, submit, transmit, list, link to, or provide Content. You are responsible for Content that You provide, including its legality, reliability, accuracy, completeness, and appropriateness.

By posting or providing Content to the Service, You grant WXLLSPACE the right and license to use, modify, publicly perform, publicly display, reproduce, distribute, transmit, publish, edit, reformat, process, create derivative works from, and otherwise use such Content on and through the Service and as reasonably necessary to provide, operate, promote, evaluate, document, improve, or market the Service or applicable Project.

This license includes the right to use Content for:

  • Listing review
  • Listing display
  • Project evaluation
  • Proposal development
  • Client coordination
  • Vendor, Artist, installer, and contractor coordination
  • Project documentation
  • Service delivery
  • Platform operations
  • Portfolio use, subject to these Terms and any applicable opt-out
  • Marketing use, subject to these Terms and any applicable opt-out
  • Legal, insurance, accounting, dispute, and recordkeeping purposes

You retain any rights that You have in Content You submit, post, display, or provide, subject to the licenses and permissions granted in these Terms or in a Service Agreement.

You represent and warrant that:

  • The Content is Yours, or You have the right to use it and grant WXLLSPACE the rights and licenses provided in these Terms.
  • The posting or use of Your Content does not violate privacy rights, publicity rights, copyrights, trademark rights, contract rights, property rights, confidentiality rights, or other rights of any person or entity.
  • The Content is accurate, complete, and not misleading.
  • The Content does not contain unnecessary sensitive personal information.
  • You have obtained all required consents before providing information about another person.

19. Content Restrictions

You may not transmit, upload, submit, post, list, or provide Content that is:

  • Unlawful or promotes unlawful activity
  • Defamatory, discriminatory, abusive, threatening, harassing, or obscene
  • Spam, machine-generated, randomly generated, or unauthorized solicitation
  • Designed to disrupt, damage, limit, or interfere with software, hardware, telecommunications equipment, data, or systems
  • Infringing on intellectual property, privacy, publicity, contractual, confidentiality, property, or proprietary rights
  • Impersonating any person or entity
  • Violating the privacy of another person
  • False, misleading, deceptive, or materially inaccurate
  • Harmful to WXLLSPACE, its Clients, Artists, contractors, vendors, partners, or Project Participants
  • Submitted without required authorization
  • Related to a property, wall, storefront, surface, site, or opportunity that You do not own, control, manage, lease, or have authority to submit

WXLLSPACE reserves the right, but not the obligation, to determine whether Content complies with these Terms and may refuse, remove, edit, reformat, restrict, suspend, or disable access to Content at its sole discretion.

20. Platform Acceptable Use

You may not use the Service to:

  • Submit false, misleading, unauthorized, or inaccurate information
  • Submit a property, wall, storefront, surface, site, or opportunity that You do not own, control, manage, lease, or have authority to submit
  • Scrape, copy, harvest, crawl, or extract data from the Service without written permission
  • Interfere with the security, functionality, availability, or integrity of the Service
  • Reverse engineer, copy, or build a competing product or service using WXLLSPACE materials, systems, workflows, listings, or data
  • Upload malware, malicious code, spam, or unauthorized solicitations
  • Impersonate another person or entity
  • Misrepresent Your authority, identity, affiliation, ownership, or rights
  • Circumvent WXLLSPACE’s payment, communication, project, listing, or non-circumvention processes
  • Use the Service for unlawful, deceptive, harmful, abusive, harassing, discriminatory, or infringing purposes
  • Use automated tools, bots, scripts, or scraping tools without written authorization
  • Attempt to gain unauthorized access to the Service, user accounts, systems, data, or networks
  • Damage, disable, overburden, or impair the Service
  • Use WXLLSPACE Content, data, Listings, or materials to compete with WXLLSPACE without written permission

WXLLSPACE may investigate suspected violations and may suspend, restrict, or terminate access to the Service at any time.

21. Third-Party Artists, Contractors, and Vendors

WXLLSPACE coordinates with independent Artists, contractors, installers, vendors, fabricators, consultants, and other third-party professionals to perform certain Projects.

Unless expressly stated otherwise in a Service Agreement:

  • Artists and contractors are independent contractors and are not employees of WXLLSPACE.
  • WXLLSPACE is responsible for coordinating Artists assigned through WXLLSPACE.
  • The Client’s contractual relationship is with WXLLSPACE, not directly with the Artist.
  • Project communications should be directed through WXLLSPACE unless WXLLSPACE authorizes direct communication.
  • Artists are expected to follow applicable laws, reasonable site rules, safety requirements, and professional conduct standards.
  • Concerns regarding Artist conduct, quality, scheduling, safety, or performance must be reported to WXLLSPACE promptly.

WXLLSPACE may provide professional information about assigned Artists or contractors, including names, credentials, prior work examples, insurance status where applicable, and general qualifications.

WXLLSPACE will not disclose Artist or contractor personal information, internal compensation, personal contact details, or unrelated background information unless necessary for Project execution, permitted by agreement, or required by law.

22. Non-Circumvention

For 24 months after WXLLSPACE introduces a Client to an Artist, contractor, installer, vendor, Listing Provider, property owner, partner, or other Project Participant, the Client shall not directly or indirectly solicit, hire, contract with, engage, compensate, or circumvent that person or entity for mural, artwork, design, installation, listing, placement, activation, property, commercial opportunity, or related services without WXLLSPACE’s prior written consent.

This restriction applies whether the introduction occurs through the Website, platform, proposal, Listing, Project, email, meeting, site visit, call, message, or any other WXLLSPACE-facilitated interaction.

This section does not prohibit a Client from continuing a documented pre-existing relationship with an Artist, contractor, vendor, Listing Provider, property owner, or other Project Participant if the Client can show that the relationship existed before WXLLSPACE’s introduction.

A violation of this section may cause irreparable harm to WXLLSPACE. WXLLSPACE may seek injunctive relief, damages, attorney fees, and any other remedies available under law or equity.

Attorney Review Note: This section should be reviewed by counsel for enforceability, scope, duration, remedies, and state-law limitations before publication.

23. Content Backups and Project Files

Although regular backups may be performed, WXLLSPACE does not guarantee that there will be no loss or corruption of Content, Project files, Listings, communications, or documentation.

WXLLSPACE may provide support and attempt to troubleshoot known or discovered issues affecting backups, but WXLLSPACE has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state, except to the extent expressly required by a Service Agreement.

You agree to maintain complete and accurate copies of important Content, specifications, approvals, files, Listings, and final Deliverables in a location independent of the Service.

Unless a Service Agreement states otherwise, WXLLSPACE may retain active Project data for three years after Project completion and archive Project data for up to seven years for recordkeeping, tax, legal, insurance, dispute resolution, and business purposes.

24. Confidentiality

Each party may receive non-public, confidential, proprietary, technical, financial, business, creative, operational, property, pricing, site access, security, customer, vendor, or project information from the other party.

The receiving party agrees to use confidential information only for the purpose of performing or receiving services, evaluating a Project or opportunity, or fulfilling obligations under these Terms or an applicable Service Agreement.

The receiving party must use reasonable care to protect confidential information and may disclose it only to employees, contractors, vendors, advisors, or Project Participants who need to know it for the applicable purpose and who are subject to confidentiality obligations.

Confidential information does not include information that is publicly available through no breach by the receiving party, already known without restriction, independently developed without use of confidential information, or lawfully received from a third party without restriction.

WXLLSPACE may disclose confidential information where required by law, court order, subpoena, regulator, insurer, professional advisor, or legal process, provided that WXLLSPACE uses reasonable efforts to limit disclosure where legally permitted.

This section does not replace any separate non-disclosure agreement. If a separate non-disclosure agreement applies and conflicts with this section, the separate non-disclosure agreement controls.

25. Copyright Policy and Dmca Notices

WXLLSPACE respects intellectual property rights. It is Our policy to respond to claims that Content posted on or through the Service infringes copyright or other intellectual property rights.

If You are a copyright owner, or authorized to act on behalf of one, and You believe that copyrighted work has been copied, displayed, distributed, posted, uploaded, transmitted, or otherwise used through the Service in a way that constitutes copyright infringement, You may submit a written notice to WXLLSPACE at hello@wxllspace.com.

Your notice should include:

  • An electronic or physical signature of the copyright owner or the person authorized to act on behalf of the copyright owner
  • A description of the copyrighted work claimed to be infringed
  • Identification of the material claimed to be infringing and information reasonably sufficient for WXLLSPACE to locate the material
  • Your name, mailing address, telephone number, and email address
  • A statement that You have a good faith belief that the disputed use is not authorized by the copyright owner, the copyright owner’s agent, or the law
  • A statement that the information in Your notice is accurate
  • A statement, made under penalty of perjury, that You are the copyright owner or authorized to act on behalf of the copyright owner

Upon receiving a valid notice, WXLLSPACE may remove, restrict, disable access to, or decline to display the allegedly infringing material. WXLLSPACE may also notify the user or party that provided the material.

If You believe that material You provided was removed or disabled by mistake or misidentification, You may submit a written counter-notice to hello@wxllspace.com.

Your counter-notice should include:

  • Your physical or electronic signature
  • Identification of the material that was removed or disabled and the location where the material appeared before it was removed or disabled
  • A statement, made under penalty of perjury, that You have a good faith belief that the material was removed or disabled as a result of mistake or misidentification
  • Your name, mailing address, telephone number, and email address
  • A statement that You consent to the jurisdiction of the federal court for the judicial district in which Your address is located, or if Your address is outside the United States, the federal courts located in New York
  • A statement that You will accept service of process from the person who submitted the original copyright notice or that person’s agent

WXLLSPACE may, in appropriate circumstances, terminate or restrict Accounts or access for users who repeatedly infringe intellectual property rights or repeatedly submit infringing Content.

WXLLSPACE may remove or restrict Content at its discretion where WXLLSPACE believes the Content may infringe intellectual property rights, violate these Terms, create legal risk, or harm WXLLSPACE, Clients, property owners, Listing Providers, Artists, contractors, vendors, partners, or other Project Participants.

26. Intellectual Property

The Website, platform, business name, trademarks, trade dress, original content, features, functionality, systems, processes, software, workflows, databases, visual identity, and other WXLLSPACE materials are and will remain the exclusive property of WXLLSPACE and its licensors.

The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

WXLLSPACE trademarks, logos, trade dress, and brand assets may not be used in connection with any product or service without the prior written consent of WXLLSPACE.

Except as expressly stated in these Terms or in a Service Agreement, You do not receive any ownership rights in WXLLSPACE intellectual property.

You may not:

  • Copy, modify, reproduce, distribute, sell, lease, sublicense, or exploit any part of the Website or Service
  • Reverse engineer, decompile, or attempt to extract source code, systems, methods, databases, workflows, or processes
  • Use WXLLSPACE materials to build a competing service
  • Remove copyright, trademark, or proprietary notices
  • Use WXLLSPACE’s name, marks, portfolio, client work, artist network, property network, Listings, or business materials without written permission

Any rights not expressly granted to You are reserved by WXLLSPACE.

27. Intellectual Property Rights for WXLLSPACE Services

This section applies to creative direction, artwork, mural design, production, installation, physical placements, activations, project documentation, and related Project Deliverables.

Client Materials

The Client retains ownership of materials the Client provides to WXLLSPACE, including logos, trademarks, brand guidelines, reference images, copy, photographs, design files, campaign materials, property materials, Listing materials, and other Client-owned materials.

The Client grants WXLLSPACE a limited, non-exclusive license to use Client Materials as necessary to perform, coordinate, evaluate, document, promote, and deliver the applicable Project or Service, subject to these Terms and any written confidentiality restrictions.

The Client represents and warrants that it owns or has sufficient rights to provide all Client Materials to WXLLSPACE and that WXLLSPACE’s authorized use of those materials will not infringe or violate the rights of any third party.

The Client is responsible for obtaining any required permissions, licenses, clearances, consents, or approvals for Client Materials.

Custom Creative Work and Mural Designs

Unless a Service Agreement states otherwise, upon full payment of all amounts due for a Project, the Client receives a limited, non-exclusive, non-transferable license to use the final approved Deliverables solely for the specific Project location, purpose, and scope identified in the applicable Service Agreement.

This license does not include the right to:

  • Reproduce the design, work, or Deliverables at another location
  • Sell, license, sublicense, or commercially exploit the design, work, or Deliverables
  • Use the design, work, or Deliverables for merchandise, advertising campaigns, packaging, digital products, NFTs, or other commercial uses not expressly approved in writing
  • Modify the design, work, or Deliverables for unrelated uses
  • Claim authorship of the design, work, or Deliverables
  • Remove WXLLSPACE or Artist attribution where attribution is used and not restricted by confidentiality

If the Client requires broader ownership or usage rights, those rights must be expressly stated in the applicable Service Agreement.

WXLLSPACE Retained Rights

WXLLSPACE retains ownership of its pre-existing intellectual property, including:

  • Creative processes
  • Business methods
  • Design systems
  • Templates
  • Proposal formats
  • Production methods
  • Artist sourcing methods
  • Project management workflows
  • Internal documentation
  • Concepts not selected by the Client
  • Preliminary designs, unused concepts, sketches, drafts, and rejected directions
  • General styles, techniques, know-how, and methodologies
  • Platform systems
  • Listing systems
  • Databases
  • Workflows
  • Marketplace, lead-generation, and project coordination processes

Payment for a Project does not transfer ownership of WXLLSPACE’s underlying methods, processes, tools, templates, data structures, platform features, Listing systems, or pre-existing materials.

Artist Rights and Attribution

Artists may retain rights of attribution and authorship in their work, subject to the applicable Service Agreement, confidentiality obligations, and Client restrictions.

WXLLSPACE may credit the Artist in portfolio materials, case studies, social posts, press materials, or other marketing materials unless:

  • The Client opts out in writing
  • The Project is confidential
  • The Project is subject to an NDA
  • The Artist requests not to be credited
  • Attribution is restricted by law, contract, property rules, or Project-specific requirements

Artist attribution means identifying the Artist as the creator or contributing artist for the completed work. Example:
Artist: [Artist Name]
Produced by WXLLSPACE for [Client Name]

Portfolio and Marketing Use

Unless the Client opts out in writing, the Project is subject to an NDA, or confidentiality restrictions prohibit use, WXLLSPACE may photograph, film, document, display, publish, and reference completed Projects for portfolio, marketing, sales, social media, award submissions, case studies, investor materials, press, and business development purposes.

WXLLSPACE’s portfolio use may include:

  • Project name
  • Client name
  • Property name
  • General location
  • Photographs or videos of the completed work
  • Artist attribution
  • Description of WXLLSPACE’s role
  • Project category, size, SQFT, or general scope

WXLLSPACE will not knowingly disclose confidential Client information, non-public business information, security-sensitive information, access protocols, or financial terms in portfolio materials without Client consent.

A Client may opt out of portfolio usage by providing written notice to WXLLSPACE at hello@wxllspace.com before publication.

If the Client opts out before publication, WXLLSPACE will not publish the applicable Project in WXLLSPACE-controlled portfolio or marketing channels.

If the Client opts out after publication, WXLLSPACE will use commercially reasonable efforts to remove the applicable materials from WXLLSPACE-controlled channels. WXLLSPACE cannot guarantee removal from third-party websites, social media shares, search engine caches, press coverage, archived materials, or materials already distributed outside WXLLSPACE’s control.

Third-Party Materials

If a Project incorporates third-party materials, references, fonts, images, trademarks, characters, artwork, photographs, brand assets, property materials, or other protected content, the party providing or requesting those materials is responsible for securing all required rights, permissions, and licenses.

WXLLSPACE is not responsible for infringement claims arising from Client-provided materials, Client-directed references, Client-approved materials, or Client-requested use of third-party intellectual property unless WXLLSPACE expressly agreed in writing to secure the applicable license.

Preliminary Concepts and Unused Work

All preliminary concepts, rejected designs, drafts, sketches, proposals, mood boards, unused directions, and work product not selected as a final Deliverable remain the property of WXLLSPACE unless a Service Agreement expressly states otherwise.

The Client may not use, reproduce, modify, distribute, or develop unused concepts without WXLLSPACE’s prior written consent.

Payment Condition

No intellectual property license or ownership transfer for Project Deliverables is effective until WXLLSPACE has received full payment of all amounts due for the applicable Project.

Until full payment is received, all rights in the Deliverables remain with WXLLSPACE and its applicable Artists, contractors, vendors, or licensors.

28. Feedback

You may provide Feedback to WXLLSPACE regarding the Service, Website, platform, Projects, Listings, business model, features, performance, processes, or other aspects of WXLLSPACE.

By providing Feedback, You assign to WXLLSPACE all rights, title, and interest in and to that Feedback.

If assignment is not permitted or is ineffective, You grant WXLLSPACE a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, commercialize, and otherwise exploit the Feedback without restriction or compensation to You.

WXLLSPACE may use Feedback for any purpose, including improving services, developing new offerings, modifying workflows, refining platform features, training internal teams, marketing, and business development.

You agree that WXLLSPACE has no obligation to:

  • Keep Feedback confidential
  • Compensate You for Feedback
  • Credit You for Feedback
  • Use or implement Feedback
  • Return materials containing Feedback

29. Links to Other Websites

The Service may contain links to third-party websites, services, platforms, tools, applications, or resources that are not owned or controlled by WXLLSPACE.

WXLLSPACE has no control over, and assumes no responsibility for, the content, privacy policies, practices, availability, accuracy, security, or terms of any third-party websites or services.

You acknowledge and agree that WXLLSPACE is not responsible or liable, directly or indirectly, for any damage, loss, claim, cost, or expense caused or alleged to be caused by or in connection with Your use of or reliance on any third-party content, goods, services, websites, platforms, or resources.

You are responsible for reviewing the terms and privacy policies of any third-party websites or services You access.

30. No Guarantee of Results

WXLLSPACE does not guarantee any number of impressions, views, visits, clicks, leads, sales, bookings, revenue, audience response, engagement, brand lift, campaign performance, publicity, press coverage, social media activity, property monetization, or other commercial result.

Any estimates, projections, examples, visibility information, traffic information, audience information, availability information, pricing guidance, or performance expectations are provided for planning purposes only and are not guarantees.

WXLLSPACE does not guarantee that any Listing, Project, activation, installation, mural, campaign, physical placement, or commercial opportunity will be approved, completed, maintained, available, profitable, or free from dispute, delay, cancellation, removal, interruption, damage, or third-party objection.

31. Termination

WXLLSPACE may terminate or suspend Your Account, access to the Website, access to the platform, access to Listings, or access to the Service immediately, without prior notice or liability, for any reason, including if You breach these Terms.

Upon termination, Your right to use the Service will cease immediately.

If You wish to terminate Your Account, You may discontinue using the Service or contact WXLLSPACE.

Termination does not affect:

  • Payment obligations incurred before termination
  • Amounts due for completed work
  • Non-refundable deposits, setup fees, milestone payments, or committed Project costs
  • Intellectual property rights
  • Confidentiality obligations
  • Indemnification obligations
  • Limitation of liability provisions
  • Non-circumvention obligations
  • Dispute resolution provisions
  • Any provisions that by their nature should survive termination

WXLLSPACE may suspend or terminate a Project if:

  • The Client fails to pay amounts when due
  • The Client fails to provide required approvals, access, information, or materials
  • Site conditions are unsafe, unlawful, materially different from what was represented, or unsuitable for performance
  • The Client requests work outside the approved scope without an approved Change Order
  • The Client breaches these Terms or the applicable Service Agreement
  • A Listing is inaccurate, unauthorized, unavailable, unsafe, unlawful, or misleading
  • Required permits, approvals, insurance, site access, or authorization documents are not provided
  • Continued performance would create legal, safety, reputational, insurance, or operational risk for WXLLSPACE

32. Indemnification

Client Indemnification

The Client agrees to defend, indemnify, and hold harmless WXLLSPACE, its officers, directors, employees, contractors, Artists, vendors, affiliates, representatives, successors, and assigns from and against any claims, demands, damages, losses, liabilities, costs, penalties, settlements, judgments, and expenses, including reasonable attorney fees, arising out of or related to:

  • Client’s breach of these Terms or a Service Agreement
  • Client-provided materials, including logos, trademarks, artwork, references, photographs, copy, specifications, Listing materials, property materials, or other materials
  • Claims that Client Materials infringe or violate third-party rights
  • Client’s failure to obtain permits, permissions, licenses, consents, or approvals
  • Site conditions, premises liability, building conditions, access conditions, security procedures, or unsafe conditions at the Project site
  • Client’s failure to provide safe and lawful site access
  • Client’s use, modification, reproduction, relocation, or commercial exploitation of Deliverables outside the approved scope
  • Client’s instructions, approvals, or requested design direction
  • Client’s negligence, willful misconduct, or violation of law
  • Claims by property owners, landlords, tenants, occupants, stakeholders, or authorities related to Client-controlled property or approvals
  • Client’s direct engagement of an Artist, contractor, installer, vendor, Listing Provider, property owner, partner, or Project Participant in violation of the non-circumvention section
  • Any property, wall, storefront, surface, site, venue, Listing, or opportunity submitted, provided, controlled, or made available by Client
  • Client’s lack of ownership, control, authorization, lease rights, management rights, or approval rights
  • Inaccurate, incomplete, outdated, misleading, or unauthorized Listing or property information
  • Claims by property owners, landlords, tenants, occupants, neighbors, municipalities, regulators, building owners, building managers, homeowner associations, business improvement districts, or other stakeholders
  • Permits, signage approvals, zoning approvals, municipal approvals, landlord approvals, tenant approvals, access approvals, or other required permissions
  • Content, creative materials, claims, messages, campaign materials, logos, trademarks, brand assets, or instructions provided or approved by Client
  • Regulated, restricted, unlawful, misleading, or non-compliant Content, campaigns, activations, or placements requested or approved by Client
  • Property damage, personal injury, access issues, site conditions, safety conditions, security procedures, or premises liability at Client-controlled or Client-provided locations, except to the extent caused by WXLLSPACE’s gross negligence or willful misconduct

WXLLSPACE Indemnification

WXLLSPACE agrees to defend, indemnify, and hold harmless the Client from third-party claims arising directly from:

  • WXLLSPACE’s gross negligence or willful misconduct
  • WXLLSPACE’s material breach of these Terms or the applicable Service Agreement
  • Claims that final Deliverables created solely by WXLLSPACE and used within the approved scope infringe a third party’s intellectual property rights
  • WXLLSPACE’s failure to comply with laws applicable to WXLLSPACE’s performance of the agreed scope

WXLLSPACE has no indemnification obligation for claims arising from Client Materials, Client instructions, Client approvals, third-party materials requested by the Client, site conditions, unauthorized use of Deliverables, or modifications made without WXLLSPACE’s written approval.

Indemnification Process

The indemnified party must promptly notify the indemnifying party of any claim. Failure to provide prompt notice does not relieve the indemnifying party of its obligations except to the extent the delay materially prejudices the defense.

The indemnifying party may control the defense and settlement of the claim, provided that the indemnifying party may not settle any claim in a way that imposes non-monetary obligations, admits fault, or restricts the rights of the indemnified party without the indemnified party’s written consent.

The indemnified party must reasonably cooperate in the defense.

33. Limitation of Liability

Website, Platform, Account, and Listing Use

For claims related to Website use, platform use, Account access, Listing access, information displayed through the Website, or general Service functionality unrelated to a paid Project, WXLLSPACE’s total liability shall be limited to the amount actually paid by You through the Website or platform, or $100 USD if You have not made any payment.

Paid Projects and WXLLSPACE Services

For claims arising from a paid Project, Mural Services, activation services, managed services, installation coordination, creative services, or other paid WXLLSPACE Services, WXLLSPACE’s total liability shall be limited to the amount paid or payable to WXLLSPACE under the applicable Service Agreement for the specific Project giving rise to the claim.

Exclusion of Certain Damages

To the maximum extent permitted by applicable law, WXLLSPACE shall not be liable for any special, incidental, indirect, punitive, exemplary, or consequential damages, including:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunity
  • Loss of goodwill
  • Business interruption
  • Loss of data
  • Reputational harm
  • Lost exposure
  • Lost campaign value
  • Missed timing
  • Replacement media or replacement placement costs
  • Property monetization losses

This exclusion applies even if WXLLSPACE has been advised of the possibility of such damages.

Exceptions

The limitations above do not apply to liability that cannot be limited under applicable law.

Unless prohibited by applicable law, the limitations above do not limit:

  • Payment obligations
  • Indemnification obligations
  • Gross negligence or willful misconduct
  • Fraud
  • Intentional misconduct
  • Intellectual property infringement
  • Confidentiality breaches
  • Non-circumvention violations
  • Personal injury or death caused by a party’s negligence
  • Claims that cannot legally be limited

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, liability will be limited to the greatest extent permitted by law.

34. Warranty and “AS IS” Disclaimer

Website, Platform, Accounts, and Listings

The Website, platform, Accounts, Listings, and general Service functionality are provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and defects, without warranty of any kind.

To the maximum extent permitted by applicable law, WXLLSPACE disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Website, platform, Accounts, Listings, and general Service functionality, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, reliability, availability, and error-free performance.

WXLLSPACE does not warrant that the Website, platform, Accounts, Listings, or general Service functionality will:

  • Meet Your requirements
  • Operate without interruption
  • Be secure, error-free, or virus-free
  • Produce any specific result
  • Be compatible with any other software, systems, services, or devices
  • Correct all defects or errors
  • Contain accurate, complete, current, authorized, lawful, available, or suitable Listing information

WXLLSPACE Services

WXLLSPACE Services are not provided on an “AS IS” basis where WXLLSPACE has expressly agreed to perform paid professional services under a Service Agreement.

Unless a Service Agreement states otherwise, WXLLSPACE warrants that paid WXLLSPACE Services will be performed in a professional and workmanlike manner, consistent with the agreed scope, approved specifications, and commercially reasonable standards applicable to the type of work performed.

WXLLSPACE does not warrant that:

  • A design, Listing, Project, placement, activation, or mural will achieve a specific commercial result, increase property value, increase sales, generate publicity, or produce a particular audience response
  • A mural, installation, activation, or physical placement will remain unchanged indefinitely after completion
  • A mural, installation, activation, or physical placement will be free from wear, fading, damage, weather impact, vandalism, structural movement, building defects, water intrusion, surface failure, improper maintenance, or third-party damage
  • Client-provided surfaces, materials, approvals, references, listings, or instructions are suitable, lawful, accurate, authorized, or non-infringing
  • Any work outside WXLLSPACE’s approved scope will comply with applicable laws, codes, or site requirements

WXLLSPACE’s warranty obligations are conditioned on:

  • Full payment
  • Proper site preparation by the Client
  • Accurate information from the Client
  • Timely approvals
  • Safe and lawful access
  • No unauthorized modification, repair, relocation, or misuse of the work
  • Compliance with site requirements and maintenance obligations

Any warranty claim must be submitted in writing within 30 days after substantial completion unless a Service Agreement provides a different period.

WXLLSPACE’s sole obligation for a valid warranty claim is, at WXLLSPACE’s discretion, to repair, correct, replace, or provide a reasonable credit for the affected portion of the work.

35. Dispute Resolution

Informal Resolution

Before pursuing formal legal action, arbitration, or litigation, the parties agree to attempt to resolve disputes informally.

The party raising a dispute must provide written notice describing the dispute, the relevant facts, the requested resolution, and supporting documentation.

The parties will attempt in good faith to resolve the dispute within 30 days after written notice.

Mediation

If the dispute is not resolved through informal negotiation, either party may request mediation in New York.

Unless the parties agree otherwise, mediation costs will be split equally. Each party will bear its own attorney fees and internal costs for mediation.

Arbitration

Except for excluded claims listed below, disputes arising out of or relating to WXLLSPACE Services, a Project, a Listing, a Service Agreement, these Terms, or the relationship between the parties shall be resolved by binding arbitration in New York.

The arbitration shall be conducted by a mutually agreed arbitration provider. If the parties cannot agree, the arbitration shall be administered by JAMS or AAA under its applicable commercial arbitration rules.

The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court with jurisdiction.

Class Action Waiver

To the maximum extent permitted by applicable law, You and WXLLSPACE agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate claims of more than one person or entity and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding unless both parties agree in writing.

Attorney Review Note: This class action waiver should be reviewed by counsel before publication for enforceability and implementation.

Claims Excluded From Arbitration

Either party may pursue the following claims in court:

  • Claims for unpaid invoices, collections, or payment enforcement
  • Claims for injunctive or equitable relief
  • Intellectual property claims
  • Confidentiality claims
  • Non-circumvention claims
  • Claims involving unauthorized use of Deliverables
  • Claims that cannot legally be arbitrated

Venue

For claims that proceed in court, the parties consent to the state and federal courts located in New York.

Attorney Fees

The prevailing party in any arbitration, litigation, collection action, or proceeding arising out of these Terms or a Service Agreement may recover reasonable attorney fees, costs, and expenses, unless prohibited by applicable law.

36. Governing Law

These Terms and Your use of the Service are governed by the laws of the State of New York, United States, without regard to conflict of law rules. Your use of the Service may also be subject to other local, state, national, or international laws.

37. Legal Compliance

You represent and warrant that:

  • You are not located in a country that is subject to a United States government embargo or designated by the United States government as a terrorist-supporting country.
  • You are not listed on any United States government list of prohibited or restricted parties.
  • You will comply with all laws, rules, regulations, codes, ordinances, permits, property rules, site requirements, and contractual obligations applicable to Your use of the Service or participation in a Project.
  • You have authority to bind the company or legal entity on behalf of which You access the Service, submit Content, submit a Listing, approve a Service Agreement, or participate in a Project.
  • Any Listing, property, wall, storefront, surface, site, or physical opportunity You submit is authorized, accurate, lawful, and not misleading.
  • You will not use WXLLSPACE Services for unlawful, deceptive, infringing, unsafe, or unauthorized purposes.

WXLLSPACE may suspend or terminate access to the Service or decline to perform work if continued performance would violate law, sanctions, safety requirements, insurance obligations, property restrictions, contractual obligations, or WXLLSPACE policies.

38. Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable, invalid, or unlawful, that provision will be changed and interpreted to accomplish the objectives of the original provision to the greatest extent permitted by applicable law. The remaining provisions will continue in full force and effect.

Waiver

Failure to exercise a right or require performance of an obligation under these Terms does not affect a party’s ability to exercise that right or require that performance later. A waiver of one breach does not constitute a waiver of any later breach. Any waiver must be in writing to be effective.

39. Changes to These Terms

WXLLSPACE reserves the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, WXLLSPACE will make reasonable efforts to provide at least 30 days’ notice before the new terms take effect. What constitutes a material change will be determined at WXLLSPACE’s sole discretion.

By continuing to access or use the Service after revised Terms become effective, You agree to be bound by the revised Terms. If You do not agree to the revised Terms, in whole or in part, You must stop using the Website and Service.

Changes to these Terms will not retroactively modify a signed Service Agreement unless the Service Agreement expressly incorporates the updated Terms or the parties agree otherwise in writing.
